Welcome to the website, platform, applications, and related services (collectively, the "Services") provided by Farseer International Limited ("Farseer", "we", "us", "our", or "the Company"). These Terms of Service (these "Terms") constitute a legally binding agreement between you ("you", "your", or the "User") and the Company. Please read these Terms carefully before accessing or using the Services. By logging in, browsing, or otherwise accessing or using the Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Section 1. Company Information

Farseer International Limited is a limited company incorporated under the laws of the Hong Kong Special Administrative Region.

Section 2. Scope of Services

The Company provides the following services through a SaaS cloud platform, application programming interfaces (APIs), and artificial intelligence (AI) solutions:

Business intelligence (BI) and data analytics platforms, market monitoring, and sentiment analysis;
Investment research, risk analysis, ESG assessment, and customised research reports;
AI-driven enterprise decision solutions, including data governance, compliance management, and process automation;
Data and API integration services, index design, and cross-border financial indicators;
Derivative features of the foregoing, technical support, and advisory and consulting services.

The Company reserves the right to add, modify, suspend, or discontinue any part of the Services at any time without prior notice.

Section 3. Account Registration and Security

3.1 You must provide true, accurate, complete, and current registration information and promptly update such information whenever it changes.

3.2 You are solely responsible for maintaining the confidentiality of your account credentials, including your username, password, and any authentication information, and for all activities that occur under your account.

3.3 You must notify the Company immediately by email at info@farseerbi.com if you become aware of any unauthorised use of your account or any other security breach.

3.4 The Company reserves the right to suspend or terminate your account if it reasonably suspects unauthorised access, a violation of these Terms, or any unlawful activity.

Section 4. User Responsibilities and Code of Conduct

You undertake that you will not:

Use the Services for any purpose that violates applicable laws, regulations, or the rights of any third party;
Access, copy, or extract content from the Services through automated programmes, web scrapers, bots, or any other unauthorised means;
Reverse-engineer, decompile, decrypt, disassemble, or otherwise attempt to derive the source code of the Services;
Upload or transmit any virus, malicious code, or harmful content;
Interfere with, disrupt, or attempt to circumvent the security mechanisms of the Services;
Resell, transfer, sublicense, or otherwise make available the Services, API keys, or login credentials to any unauthorised third party.

Section 5. Subscriptions, Fees, and Payment

5.1 Certain Services are available on a paid subscription basis. The applicable fees, subscription periods, automatic renewal terms, and refund policy shall be as set out in the separate service agreement executed between the parties or on the subscription page of the Company's website.

5.2 All fees are denominated in the currency specified in the applicable agreement and, unless otherwise stated, are exclusive of any taxes, levies, duties, or bank charges.

5.3 The Company reserves the right to charge reasonable interest and administrative costs on overdue amounts and to suspend or terminate the relevant Services until full payment is received.

Section 6. Intellectual Property

6.1 All intellectual property rights in and to the Services and all content therein — including but not limited to software, platform interfaces, text, graphics, trademarks, logos, reports, data models, algorithms, and related documentation — are owned by or licensed to Farseer and are protected under Hong Kong and international copyright law, trademark law, and other applicable laws.

6.2 Subject to your full compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Services solely for your internal business purposes during the applicable subscription period.

6.3 The name "Farseer", its logo, and related marks are proprietary assets of the Company. You may not use, reproduce, or modify them without the Company's prior written consent.

Section 7. Data and Content

7.1 You retain ownership of all data and materials that you input or upload into the Services ("User Data"). You grant the Company a worldwide, royalty-free, limited licence to process User Data solely for the purposes of providing, maintaining, and improving the Services.

7.2 The Company may make available within the Services news, market data, and analytical content sourced from third-party data providers ("Platform Content"). Platform Content is provided for reference purposes only and does not constitute investment advice, an offer, or a solicitation.

7.3 You acknowledge that, while the Company endeavours to ensure the accuracy of information provided through the Services, the Company makes no express or implied warranty as to its completeness, timeliness, or freedom from error.

Section 8. Third-Party Services

The Services may integrate with or link to third-party services, including but not limited to data providers, cloud infrastructure providers, and payment processors. The Company accepts no responsibility for the content, policies, or conduct of any such third-party services, and your use of those services is separately governed by their respective terms and conditions.

Section 9. Disclaimers

9.1 To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis without any express or implied warranty of any kind, including any warranty of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, security, or freedom from error.

9.2 Any analyses, forecasts, ratings, indices, and AI-generated content made available through the Services are provided for informational purposes only. You must exercise independent judgement in respect of any decision and bear the associated risks entirely.

Section 10. Limitation of Liability

10.1 To the fullest extent permitted by applicable law, neither the Company nor any of its directors, employees, agents, or affiliates shall be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, loss of goodwill, loss of data, or business interruption — howsoever arising, whether in contract, tort, or under any other legal theory.

10.2 In any event, the Company's aggregate cumulative liability arising out of or in connection with these Terms or the Services shall not exceed the total amount actually paid by you to the Company for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

Section 11. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its directors, employees, and agents from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services, your breach of these Terms, or your infringement of any third-party rights.

Section 12. Suspension and Termination

12.1 The Company may suspend or terminate your right to access and use the Services in any of the following circumstances: (a) you breach these Terms; (b) a legal requirement or order from a governmental or regulatory authority so requires; (c) a security risk or abuse is identified; or (d) the Services are discontinued.

12.2 You may terminate your subscription at any time by providing written notice to the Company; however, all fees paid prior to termination are non-refundable unless otherwise agreed in writing.

12.3 Provisions that by their nature are intended to survive termination — including but not limited to Sections 6, 9, 10, 11, 14, and 15 — shall remain in full force and effect after these Terms are terminated.

Section 13. Amendments

The Company may amend these Terms from time to time. Amended Terms shall take effect upon publication on the Company's website. Your continued use of the Services following the effective date of any amendment constitutes your acceptance of the amended Terms. If you do not agree to any amendment, you must cease using the Services.

Section 14. Governing Law and Dispute Resolution

14.1 These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

14.2 Any dispute, controversy, or claim arising out of or in connection with these Terms or the Services — including as to their existence, validity, or termination — shall be resolved first through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation, it shall be submitted to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules in force at the relevant time. The seat of arbitration shall be Hong Kong, and the language of arbitration shall be English.

Section 15. General Provisions

15.1 Entire Agreement. These Terms constitute the entire agreement between you and the Company with respect to the Services and supersede all prior oral or written agreements, understandings, and representations between the parties.

15.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 No Waiver. The Company's failure to exercise or enforce any right or remedy under these Terms shall not constitute a waiver of that right or remedy.

15.4 Assignment. You may not assign any of your rights or obligations under these Terms without the Company's prior written consent. The Company may assign its rights and obligations under these Terms to any affiliate or successor entity at any time.

15.5 Language. These Terms are available in Traditional Chinese, Simplified Chinese, and English. In the event of any inconsistency or ambiguity between the versions, the English version shall prevail.
